By accessing the CodeWave Studio website or engaging our services, you agree to these Terms & Conditions. For active client projects, signed agreements in the Client Portal take precedence over this general website policy where they differ.

1. Client Agreements (Important)

When you become a CodeWave Studio client, your project is governed by signed documents issued through our Client Portal, including where applicable:

  • Master Service Agreement (MSA) — overall service relationship
  • Statement of Work (SOW) — project scope, deliverables, timeline & fees
  • Mutual NDA — confidentiality of shared business & technical information
  • Warranty Policy — post-delivery defect coverage
  • Support & SLA — post-delivery support terms (when requested)
  • Maintenance Agreement — ongoing website/software maintenance (when requested)
  • Change Request Form (CRF) — approved scope changes
  • Project Completion Certificate (PCAC) — final delivery acceptance

If any conflict arises between these website Terms and a signed client agreement, the signed agreement controls for that client and project.

2. Website Use

You may use our website for lawful purposes only. You must not attempt to disrupt, hack, scrape, or misuse our systems, content, or forms. We reserve the right to restrict access for abuse or security reasons.

3. Services

CodeWave Studio provides web & software development, e-commerce, mobile apps, SaaS, cloud & DevOps, AI automation, SEO, digital marketing, branding, security support, and related digital services as described on our website or in a written proposal, SOW, or invoice.

4. Quotes, Invoices & Payments
  • Project scope, pricing, and timelines are confirmed in writing before substantial work begins.
  • Payments are due per the agreed schedule in the proposal, SOW, or invoice.
  • Late or missed payments may pause work, suspend support, or delay delivery until the account is settled.
  • Third-party costs (hosting, domains, plugins, ad spend, APIs, licenses) are the client’s responsibility unless explicitly included in writing.

5. Client Responsibilities
  • Provide accurate information, timely feedback, and required assets (content, branding, access credentials).
  • Maintain active hosting, domain, SSL, and third-party subscriptions where applicable.
  • Avoid unauthorized changes to delivered work that may affect warranty or support coverage.
  • Review and sign agreements, SOW, change requests, and completion documents through the Client Portal when requested.
6. Confidentiality

Both parties may share confidential information during discussions and project delivery. Unless otherwise agreed, confidential information must not be disclosed to any third party without prior written consent. This is further detailed in our Mutual NDA for signed projects.

7. Intellectual Property & Portfolio
  • Upon full payment, clients receive ownership or usage rights to final deliverables as agreed in the SOW or project documents.
  • Pre-existing CodeWave tools, frameworks, templates, and reusable components remain our property unless explicitly transferred in writing.
  • CodeWave Studio will not display a client’s project, screenshots, source code, or branding in its portfolio, website, or marketing without the client’s prior written permission (as stated in the NDA).
8. Revisions & Scope Changes

Reasonable revisions included in the agreed package will be honoured. Work outside the original SOW scope requires a new quote or signed Change Request Form (CRF). Support and maintenance beyond agreed terms may require a separate Support SLA or Maintenance Agreement.

9. Warranties & Support

Post-delivery bug fixes and warranty coverage are defined in the signed Warranty Policy. Ongoing support, response times, and maintenance (updates, backups, monitoring) are covered only under separately signed SLA or Maintenance agreements — not by these general website Terms alone.

10. Limitation of Liability

To the fullest extent permitted by law, CodeWave Studio is not liable for indirect, incidental, special, or consequential damages. Our total liability for any claim relating to a specific service is limited to the amount paid by the client for that service, except where a signed agreement states otherwise. We are not responsible for third-party outages, hosting failures, or force majeure events beyond reasonable control.

11. Governing Law

These Terms are governed by the laws of the Republic of India. Disputes should first be resolved through good-faith discussion. If unresolved, disputes are subject to the jurisdiction of competent courts in India, unless a signed client agreement specifies otherwise.

12. Changes to Terms

We may update these Terms from time to time. The “Last updated” date will reflect changes. Continued use of our website after updates constitutes acceptance. Active client projects remain governed by their signed agreements.
